How is a Limited Liability Company formed in Nebraska?
In order to form a Limited Liability Company in Nebraska, you must submit a certificate of organization for filing with the Secretary of State.
Name
- The company name can not be the same or deceptively similar to any business entity name on file with the Secretary of State. (Exceptions can be made if certain requirements are fulfilled, including written permission from the name owner.)
- The name of the company must include “Limited Liability Company” or one of the abbreviations “LLC” or “L.L.C”.
- Certain words in a company name can require specific licensing, e.g. Attorney, Bank or University. For more information, contact the Nebraska Secretary of State.
When you are in the process of selecting a name for your LLC, it is a good idea to search for your alternatives online and try to find out if they are already taken or deceptively similar to an existing name. Then, you can either use an entity name check service online, or skip that step and go directly to submitting a formal name availability request with the Nebraska Secretary of State. The request can be e-mailed, faxed or sent in as a letter.
Reserving the name
If the name is available for use, you can reserve it for 120 days by filing an application with the Secretary of State and pay the reservation fee. This will prevent someone else from registering the name while you are in the process of getting the documents in order to file your LLC.
Registered Agent for the LLC
When you submit a certificate of organization for filing with the Secretary of State to create your LLC, it must contain information about the Registered Agent for the LLC. Both the name of the Registered Agent and the location of their business office (Registered Office) must be listed in the formation documents for the LLC.
The Registered Agent will be the one who is legally permitted and required to receive service of process and official government communications for the LLC.
Does the Registered Agent have to be a person?
No, the Registered Agent can be either a person or a legal entity. If it is a person, it must be a person residing in Nebraska. If it is a legal entity, such as a corporation, it must be an entity authorized to transact business in Nebraska.
